Ensign Development One, LLC, a Colorado Limited Liability corporation (the “Company”), is hereby offering (the “Offering”) for sale only to persons who qualify as “accredied investors” (as defined in Rule 501 of Regulation D of the Securities Act of 1933, the “Act”) 600 Units (the “Unit”), each Unit consisting of one (1) “Preferred Member” of the Limited Liability Company, at an offering price of $12,500 per Unit. The aggregate Offering shall be for $7,500,000 (the “Offering”). The minimum purchase per investor is One (1) Unit, subject to the right of the Company to accept subscriptions for fractional Units. Each “Preferred Member” Unit interest entitles the holder thereof to one vote with respect to any matter to be submitted to vote of the equity holders of the Company. The Company is acting as the exclusive placement agent ( the “Placement Agent”) in connection with this Offering.

  1. The Offering will be made by officers and employees of the Company who will receive no commissions or remuneration therefore. The Company has engaged a Facilitator to assist in the Offering, who will receive placement fees or finder’s fees of up to 5% of the gross sales price of all the Units sold.
  2. Prior to the deduction of estimated expenses of about $12,000 relating to the Offering payable by the Company, including legal, accounting, printing and miscellaneous expenses.
